Below you will find the Terms and Conditions (T&C) applicable to NFT CRYPTO ART LABS. “FACEMASKS” are a collection of 2030 pieces of digital art, distributed in the form of non-fungible tokens ( NFT) stored on the Ethereum blockchain. NFT CRYPTO ART LABS. . is a global development ecosystem. These Terms and Conditions, and all documents to which they refer, constitute a Contract between NFT CRYPTO ART LABS. LABS and any natural or legal person who uses the Service provided by NFT CRYPTO ART LABS.

1. DEFINITIONS

Capitalized terms within these Terms and Conditions refer to the following: The “Terms and Conditions” or “T&C” mean these terms and conditions, applicable within the framework of the relationship between NFT CRYPTO ART LABS. and its Clients and any element of the Website to which they expressly refer. The “Website(s)” refers to the websites accessible from the URL: https://nftcrypto.digital/ and all websites published by us to promote and distribute the Service. The “Service” means the service provided by NFT CRYPTO ART LABS. to its Users and Customers through the Website, including the purchase of NFTs. “NFT(s)” refers to the digital work of art, distributed in the form of non-fungible tokens on the Ethereum blockchain and made available available for sale to Clients through the Website or the Application.The “User” means any person who browses the Website or uses the Application.The “Client” means any natural or legal person who purchases an NFT or any Other Payment Service of the Company. “Transaction” means any purchase of an NFT or other Payment Service by the Client from the Company.

2. AREA OF APPLICATION

Goal. These T&C govern the contractual relationship between NFT CRYPTO ART LABS. and its Users and Customers in the context of the use of the Website and the Application and the purchase of NFT. Entire agreement. The T&Cs are accessible at any time on the website and the app. They represent the entire agreement between NFT CRYPTO ART LABS and the Client/User and replace any other version or previous agreement between the parties. They are effective as of the update date indicated at the top of this document. The T&C apply to the exclusion of all other conditions and constitute all the rights and obligations of the parties within the framework of their contractual relationship. No specific condition, at the initiative of the Client/User, may be added to and/or substituted by these T&C. However, the Client is duly informed that the Company may depend on websites managed by third parties to provide the Service (that is, https://opensea.io/ for the purchase of NFT). In this case, the general terms and conditions of these platforms will prevail over these T&C, for the aspects of the contractual relationship between the Clients and the Company they manage.

Likewise, NFT CRYPTO ART LABS reserves the right to establish special conditions for certain Services, special offers, special guarantees, etc., which will be provided to the Client in relation to the Service for which they will be applied. These special conditions will be considered part of these T&C and will prevail over the T&C in case of conflict.

Capacity.Any use of the Website or the Application implies acceptance and compliance with all the terms of these T&C. By using the Services and entering into these Terms, the User/Client acknowledges that they are at least 18 years of age and have the right, authority and capacity to enter into any agreement with NFT CRYPTO ART LABS under the law of their country or represent, under of valid mandate, the person for whom it is contracted. 

Acceptance of the T&C. The User declares to have read the T&C and to have accepted them before any Transaction, which implies the unreserved acceptance of these T&C. By accepting this, the User acknowledges that, prior to any Transaction, they have received sufficient information and advice from NFT CRYPTO ART LABS through the Website, which allows them to ensure that the content of the Transaction meets their needs. 

Unless proven otherwise, the data recorded by the Website constitute proof of all the facts, acceptance and transactions. The User may request a copy of the version of the T&C applicable to his Transaction at any time. The fact that NFT CRYPTO ART LABS does not insist in one or more cases on the fulfillment of any of the terms, agreements or conditions of the T&C, to exercise any right or privilege in the T&C conferred will not be interpreted as a subsequent waiver of any of said T&C. terms, agreements, conditions, rights or privileges.

3. EVOLUTION OF THE T&C

NFT CRYPTO ART LABS. reserves the right to modify or supplement the T&C at any time and without prior notice. Any changes to the T&Cs will be reported by updating the previous “last updated” date associated with the updated Terms. Modifications to the T&C made by NFT CRYPTO ART LABS. They will be applied immediately to the Transactions carried out after their modification but will not be applied to the Transactions already carried out, except for the clauses related to the technical evolution of the Website or the Application, provided that said modifications do not imply an increase in price or an alteration of the quality or of the characteristics that have conditioned the commitment of the User or the Client.  

Yes NFT CRYPTO ART LABS. Unable to provide the Service under the conditions accepted by the Client at the time of the Transaction, the Client has the right to request the termination of the Contract and the reimbursement of the Transaction.

4. SERVICE DESCRIPTION

NFT CRYPTO ART LABS. Provides a Service that allows the purchase of NFT by its Clients at https://opensea.io/, through the Website: https://nftcrypto.digital/. The NFTs are part of a collection of 2,030 pieces of digital art, distributed as non-fungible tokens (NFTs), stored as ERC-721 tokens on the Ethereum blockchain, and hosted on IPFS (the Interplanetary File System). 

to the Client that the NFTs offered on the Website are sold exclusively through third party websites (in particular: https://opensea.io) to which the Website refers. These websites are operated by third parties and NFT CRYPTO ART LABS does not exercise any control over them. These websites apply their own terms of use (in the case of Opensea, see: https://opensea.io) which they may also change at any time. Before purchasing an NFT, the Client acknowledges that he has reviewed its essential characteristics as well as its price, which are described in detail at: https://opensea.io. 

THE SERVICE IS PROVIDED BY NFT CRYPTO ART LABS. “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. IN NO EVENT NFT CRYPTO ART LABS. SHALL BE LIABLE FOR DIRECT OR INDIRECT, MATERIAL OR INCIDENTAL DAMAGES CAUSED BY THE UNAVAILABLE OR MALFUNCTIONING OF THE WEBSITE OR THIRD-PARTY WEBSITES.

5. OWNERSHIP OF NFT

Ownership of digital works of art. The purchase of an NFT CRYPTO ART LABS by the Client implies the transfer of ownership of the digital work of art to which it is associated and which is distributed as a non-fungible token on the Ethereum blockchain. 

The Client may in turn sell the NFT at the price determined (to which a commission of 10% of the sale price will be added by the buyer). Ownership of the NFT is governed by a smart contract and the terms of the Ethereum network. NFT CRYPTO ART LABS does not have the ability to cancel, reverse or modify any Transaction or ownership title once the Transaction has been completed. 

 License. The purchase of the NFT grants the Customer a non-exclusive worldwide license to reproduce and represent the acquired NFT, for personal and commercial purposes (use on social networks, in particular as avatar or profile picture, creation of derivative products…). 

 This license ends when the licensee loses ownership of the NFT. The resale of the NFT to a third party implies the transfer of this license to the latter.  

In any case, this license only applies to the NFTs owned by the licensee and not to other NFTs in the collection or to any other element developed by NFT CRYPTO ART LABS (including, without limitation: texts, graphics, logos, software or any metaverse component…).   

It is explicitly stated here that NFT CRYPTO ART LABS reserves the right, in any case, to represent or reproduce each of the NFTs in the collection. This includes commercial, advertising and promotional use, in any medium (including physical or digital), worldwide and without time limitation.

6. OBLIGATIONS OF THE CUSTOMER AND USER

All costs related to access to the Website, whether hardware, software or Internet access costs, are the sole responsibility of the User/Client who agrees to access the Website and the Application using adequate, updated and free equipment. of viruses. 

 The User/Client is solely responsible for the proper functioning of their computer equipment (hardware or software) as well as their Internet access, to use the Website and the Service.  

Prohibited use. By using the service, the Client and User undertake not to make any use of the NFT that violates the applicable regulations in their country of residence. In particular, the Client and User undertake not to use the Service: 

 In a manner that violates applicable laws and regulations, including, but not limited to, the following: regulations relating to anti-money laundering, anti-corruption and the financing of terrorism; in a way that infringes the rights of third parties, including their intellectual property rights (copyrights, trademark rights); to host or launch harmful programs or scripts such as: web bots, web crawlers, web indexers, viruses, malware, ransomware, Trojan horses, rootkits, worms, programs that make multiple server requests per second, or any program or script script that hinders the performance of the Service in any way; to send fraudulent or unsolicited messages to third parties, including messages that may be labeled as spam or phishing; host or make available any content that violates applicable laws and regulations in your country of residence. 

 CUSTOMER EXPRESSLY RELEASE NFT CRYPTO ART LABS FROM ANY RESPONSIBILITY FOR ANY ILLEGAL USE OF THE SERVICE OR ANY USE THAT INFRINGES THE RIGHTS OF THIRD PARTIES.

7. TRANSACTION PROCESS AND PAYMENT TERMS

THE CUSTOMER IS EXPRESSLY INFORMED THAT A VIRTUAL ASSETS (CRYPTOCURRENCY) IS NOT A LEGAL CURRENCY. THE PRICE OF CRYPTOCURRENCIES IS SUBJECT TO FREQUENT VARIATIONS AND THE VALUE OF VIRTUAL ASSETS IS HIGHLY VOLATILE. IT IS THEREFORE THE CUSTOMER’S RESPONSIBILITY TO SYSTEMATICALLY VERIFY THE APPLICABLE EXCHANGE RATE AT THE TIME OF THE TRANSACTION. NFT CRYPTO ART LABS SHALL IN NO WAY BE RESPONSIBLE FOR CHANGES IN THE PRICE OF CRYPTOCURRENCIES OR ANY FINANCIAL LOSS SUFFERED BY THE CUSTOMER AS A RESULT OF SUCH CHANGES.

TRANSACTIONS WITH CRYPTOCURRENCIES ARE SUBJECT TO FRAUD RISKS, OF WHICH NFT CRYPTO ART LABS IS NOT RESPONSIBLE AND OF WHICH THE CUSTOMER IS EXPRESSLY INFORMED. Prices. Payments for the Service related to the purchase of NFTs must be made using cryptocurrencies.  

The price of an NFT is expressed in the reference cryptocurrency, Ethereum (ETH), or any other cryptocurrency made available by the platforms on which NFTs are offered for sale to customers. Names are sold at the rates displayed on the Website or App when the Client completes the Transaction with NFT CRYPTO ART LABS.

The Client is expressly informed that in addition to the price of the NFTs, Transaction costs (gas fees) apply. These Transaction fees are determined and collected solely by the third party website from which the NFTs are purchased. The Client acknowledges that he is aware of the existence of these Transaction fees and that he accepts their amount before proceeding with the Transaction.  

Royalties. In case of resale of an NFT, the Client is informed that NFT CRYPTO ART LABS will charge the buyer an additional fee, equal to 10% of the resale price (not including gas fees).  

Special offers. NFT CRYPTO ART LABS reserves the right to propose limited-time offers, promotional offers or price reductions in its Service and review its offers and prices on the Website at any time, under the conditions provided by law. The applicable prices are those in force at the time of the Client’s Transaction, who may not rely on other prices, before or after his Transaction.  

Payment method. The Client is expressly informed that all Transactions are carried out through third-party websites to which the Website or the Application redirects (in particular: https://opensea.io/).  

Transaction fees and payment methods are entirely determined by these third party websites, which may change them at any time. Before proceeding with any Transaction, Customer should review the payment terms and conditions of these third party websites. NFT CRYPTO ART LABS is not responsible in any case for damages suffered as a result of the use of these third-party websites.   

Payment incidence – Fraud. NFT CRYPTO ART LABS reserves the right to suspend the processing of any Transaction in the event of Transaction failure or fraud. NFT CRYPTO ART LABS reserves the right to refuse to accept a Transaction from a Client with whom there is a pending dispute.

NFT CRYPTO ART LABS provides Users and Clients with assistance in case of difficulties encountered when accessing the Website, the Application or using the Service.
